14. Governing Law Enforcement

All disputes arising out of or relating to these Terms shall be finally resolved by arbitration conducted in the English language in New York, New York under the commercial arbitration rules of the American Arbitration Association. You represent that you are not a Sanctions Target or prohibited from receiving Paige software, content or services pursuant to these Terms under Applicable Laws, including Export Laws.

Access to the Website or Content may not be legal by certain persons, or in certain jurisdictions. You assume full responsibility for complying with the Applicable Laws. These Terms will not be governed by the United Nations Convention on Contracts for the International Sale of Goods.

Paige may make available or deliver certain Paige offerings (or features of an offering) labelled or offered as “evaluation”, “trial”, “pre-release”, “proof of concept”, “beta”, “soft launch”, “customer-driven trial” or another similar designation (collectively, “Evaluation Services”). You may access or use Evaluation Services only during the period and for the purpose of the evaluation, as expressly permitted by Paige. Except as expressly set forth in the online or other documentation for the Evaluation Services, (i) the subscription period for the Evaluation Services will be limited to an amount of time determined at Paige’s sole discretion, (ii) your use will be limited to non-commercial evaluation purposes with no rights to make available or distribute the Evaluation Services to any third party, and (iii) the use will be only by you as an individual or, if you are a company or other legal entity, by one named employee. Notwithstanding anything contained in these Terms or otherwise, (a) Paige makes no commitments with respect to Evaluation Services regarding any features, functions, service levels or data and provides no warranties of any kind with respect to Evaluation Services, (b) Paige may choose not to generally release any Evaluation Services or convert any Evaluation Services into a product offering, and (c) Evaluation Services may contain code that is not fully tested, including errors and faults that may cause total data loss or system failure.
